No Contingencies. Property is being sold “AS-IS, WHERE IS.” The “REAL ESTATE PURCHASE CONTRACT” is not contingent or subject to financing, appraisal, inspection(s), survey or any other contingencies. Prior to bidding, you MUST have financials in order and all due diligence completed.

Agency. Auction Plus, LLC is the Broker and Representative of the SELLER.

Earnest Money will be $7,500. Earnest money deposit shall be held in Escrow by a designated Escrowee for the mutual benefit of the parties. Earnest money shall be credited to the buyer at closing. Earnest Money is NON-REFUNDABLE. Auction Plus, LLC. representatives will not hold or accept Earnest Money and only the Designated Escrowee will make arrangements with the winning bidder as to the method of deposit for Earnest Money funds within the contractural time period.

Closing. The closing on the sale of the property will be within 30 calendar days of signed purchase agreement. Possession of the property will be delivered to the buyer on the same day as closing.

Owner’s Covenant to Sell. Owner agrees to furnish a title commitment from a reputable title company and to furnish a deed conveying good and marketable title to the Property.

Conveyance of Title. At Closing, Seller will deliver a fully executed recordable warranty deed conveying the Property to Buyer subject only to the Permitted Exceptions, a real estate transfer tax declaration, and a plat act affidavit, if necessary. The parties will sign such other documents as may be reasonably required by the closing agent to complete the transaction in accordance with this Contract.

Closing Costs. Seller will pay all expenses in connection with the payment of any liens against the Property, the cost of recording lien releases, Seller’s attorneys’ fees, real estate transfer or documentary taxes, Buyer’s Title Policy, and such other expenses provided to be paid by Seller herein. Buyer will pay the recording fee for the warranty deed, Buyer’s attorneys’ fees, lender’s fees, lender’s title insurance, Buyer’s title search and any endorsements or extended coverage on Buyer’s title insurance, any escrow/closing fees charged by closing agent, and such other expenses provided to be paid by Buyer herein. Any Closing costs not otherwise allocated herein will be divided evenly between the parties.

Taxes. The real estate taxes (regular, special, drainage, or other assessment) assessed against the property shall be prorated to the date of close. Seller’s obligations, if any, will be credited against the purchase price at closing. Buyer will be responsible for all real estate taxes assessed against the property thereafter.

Technical Problems. Auction Plus, LLC., the SELLER or the software company providing the bidding platform, shall not be held responsible for any malfunction in the software, server issues, miss bids or the like and reserves the right to pause, postpone, reschedule or cancel bidding at any time without notice and at the discretion of the auctioneer. In the event of a technical problem, all decisions made by Auction Plus, LLC. are final and non-negotiable.
